Terms and Conditions

These Terms and Conditions ("Terms") form a legally binding agreement between you and SA Inc. ("Simple Chat", "we", "us", "our") governing your access to and use of the Simple Chat services, including the Shopify app, storefront chat functionality, related websites, and support services (collectively, the "Services").

By installing, accessing, or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

These Terms incorporate our Privacy Policy, Cookie Policy, and Compliance & Data Protection disclosures. If there is a conflict, the order of precedence is: (1) any separately signed agreement between you and us, then (2) these Terms, then (3) the referenced policies.

1 - Eligibility and Account

You must be at least 18 years old and capable of entering a binding contract to use the Services. You are responsible for account credentials, access controls, and all activity under your account.

2 - Service Description

Simple Chat provides AI-assisted customer support tooling for Shopify merchants, including conversation handling, merchant dashboards, and optional integrations such as email and selected third-party channels.

We may modify, improve, or discontinue features from time to time. We will use commercially reasonable efforts to avoid unnecessary disruption to active merchants.

3 - Policy Acceptance and Consent Records

In addition to acceptance by installation and use, certain workflows may require explicit in-app acceptance of legal policies before enabling specific features (for example, billing-related actions).

Where explicit acceptance is required, we may store compliance metadata such as policy version, acceptance timestamp, source, and Shopify user identifier to maintain an auditable record.

4 - Fees and Billing

Paid plans, usage-based charges, and billing terms are presented in-app and in Shopify billing flows. You are responsible for all applicable taxes and charges associated with your selected plan and usage.

5 - Customer Data and Your Responsibilities

You retain responsibility for your store operations, customer communications, and compliance obligations toward your customers, including providing any required notices and obtaining required consents.

You grant us the rights necessary to process data on your behalf to provide and improve the Services, subject to these Terms and our Privacy Policy.

6 - AI Features and Merchant Review

The Services may use AI-generated outputs. AI outputs can be incomplete, inaccurate, or unsuitable for a specific purpose. You are responsible for configuring workflows and reviewing automated behavior where appropriate for your business and legal requirements.

7 - Third-Party Services

The Services integrate with third-party services and infrastructure providers (for example Shopify, cloud hosting, AI providers, and optional merchant-enabled integrations). Your use of third-party services is subject to the third party's terms and policies.

8 - Acceptable Use

You agree not to:

  • Use the Services in violation of applicable laws or third-party rights.
  • Attempt unauthorized access to systems, data, or accounts.
  • Reverse engineer, interfere with, or disrupt the Services.
  • Use the Services to transmit unlawful, abusive, fraudulent, or malicious content.

9 - Suspension and Termination

We may suspend or terminate access for material breach, security risk, legal compliance reasons, or platform dependency changes (such as Shopify app status). You may stop using the Services at any time by uninstalling the app and discontinuing use.

10 - Warranty Disclaimer

Except as expressly provided in a separate written agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11 - Limitation of Liability

To the maximum extent permitted by law, SA Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or related to the Services.

To the maximum extent permitted by law, our aggregate liability arising from or related to the Services will not exceed the amounts paid by you for the Services during the twelve (12) months before the claim arose.

12 - Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.

13 - Changes to These Terms

We may update these Terms from time to time. Updated versions become effective when posted. Your continued use of the Services after updates take effect constitutes acceptance of the revised Terms.
